MX Event Attendee Agreement

PLEASE READ CAREFULLY. BY REGISTERING FOR, ACCEPTING AN INVITATION TO, OR ATTENDING THIS EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT REGISTER FOR OR ATTEND THE EVENT.

This Event Attendee Agreement (this “Agreement”) is between MX Technologies, Inc. (“MX”) and you, the individual registering for or attending the Event (“Attendee” or “you”). This Agreement is effective as of the date you register for, accept an invitation to, or first attend the Event, whichever occurs first (the “Effective Date”).

By registering for this Event, accepting an invitation to this Event, clicking “I Accept,” “Register,” or any similar button, or by attending the Event in any capacity, you accept and agree to be legally bound by all terms and conditions of this Agreement, on behalf of yourself and, to the extent applicable, on behalf of your company or organization.

1. Event and Scope

This Agreement applies to your participation in and attendance at the MX-sponsored or MX-hosted event described in the registration page or invitation through which you received this Agreement (the “Event”), including all related sessions, activities, meals, receptions, off-site excursions, travel to and from event venues, and any visit to MX’s offices or facilities in connection with the Event.

2. Voluntary Participation

Your participation in the Event is strictly voluntary. MX reserves the right to exclude any person from the Event for failure to comply with the terms of this Agreement, applicable rules, venue policies, or for any reason in its sole discretion.

3. Confidential Information

3.1 Definition

During the Event, and prior to or after the Event but in connection with the purpose of such Event, you may have access to or be exposed to certain confidential or proprietary information or trade secrets of MX, including but not limited to MX’s products and services, technical, business, sales, marketing, financial, or any other information relating to MX or the business which MX conducts, and information which MX obtained from another party and which MX treats as confidential, whether or not owned or developed by MX (“Confidential Information”), by means of inspection, observation, communications with employees or representatives of MX, presentations, demonstrations, tours of MX facilities, or through disclosure or discovery in any other manner.

3.2 Your Obligations

You, for yourself and on behalf of your company or organization, if any, agree as follows:

  • (a) to hold all Confidential Information in strict confidence and not divulge, copy, misappropriate, or remove from MX’s premises or Event venues any Confidential Information;
  • (b) not to use any Confidential Information for any purpose without the prior written consent of MX;
  • (c) not to photograph, video record, audio record, or otherwise capture or reproduce any Confidential Information, including but not limited to presentations, product demonstrations, screens, whiteboards, or internal documents, unless expressly permitted in writing by MX; and
  • (e) any existing agreements between you (or your company) and MX shall remain in full force and effect.

3.3 Exclusions

The obligations in Section 3.2 shall not apply to information that: (i) is or becomes publicly available through no fault of you; (ii) was already known to you prior to the Event without obligation of confidentiality; (iii) is independently developed by you without use of or reference to Confidential Information; or (iv) is disclosed pursuant to a valid court order or governmental requirement, provided you give MX prompt written notice and cooperate with MX in seeking a protective order.

3.4 Duration

The confidentiality obligations under this Section 3 shall survive for a period of five (5) years from the date of the Event, except with respect to trade secrets, which shall remain protected for so long as they qualify as trade secrets under applicable law.

4. Acknowledgement of Danger; Assumption of Risk

You acknowledge and represent that you are familiar with the risks and potential dangerous nature of the Event, including but not limited to risks of death, serious bodily injury, illness (including communicable diseases), property damage, or theft, which may result from participation in or attendance at the Event. You further acknowledge that no matter what precautions MX may take, you could experience injury, illness, or property loss of a serious nature as a result of an accident, illness, fall, or incident during the Event.

You therefore participate in and attend the event voluntarily and at your own risk, and expressly assume all risks and responsibilities arising from or related to such attendance and participation, without limitation or qualification. There have not been any express or implied representations made to you regarding the Event related to safety or health.

5. Release, Waiver, and Covenant Not to Sue

Except for any gross negligence or willful misconduct directly attributable to MX, you unconditionally and irrevocably:

  • (a) release and discharge MX and its affiliates, directors, officers, employees, agents, contractors, sponsors, co-hosts, venue owners and operators, attorneys, and representatives (collectively, the “Released Parties”) from any and all claims, liabilities, losses, damages, injuries (including personal injury, loss of life, and damage to or theft of property), actions, causes of action, costs, and expenses (including attorneys’ fees), known or unknown, suspected or unsuspected, fixed or contingent, arising directly or indirectly from your attendance at or participation in the Event, including negligence on the part of any Released Party;
  • (b) waive any right to bring any claim, lawsuit, or other proceeding against any Released Party arising from or related to the Event; and
  • (c) covenant not to sue or initiate any legal, equitable, or similar action, or file a complaint or other action for controversy resolution against any Released Party in connection with the Event.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MX or any released party be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to the event, regardless of the theory of liability. MX’s total aggregate liability to you for any direct damages arising out of or related to the event shall not exceed the amount, if any, paid by you to MX as a registration or attendance fee for the event.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your breach of this Agreement; (b) your negligence or willful misconduct during the Event; or (c) any act or omission by you during the Event that causes injury or damage to any person or property.

8. Use of Likeness and Content

You grant MX a non-exclusive, royalty-free, perpetual, worldwide license to use your name, likeness, image, voice, and statements made during the Event in photographs, video recordings, audio recordings, and other media for MX’s marketing, promotional, and business purposes. You waive any right to inspect or approve such materials prior to publication. If you do not wish to be photographed or recorded, you must notify MX in writing at events@mx.com prior to the Event.

9. Code of Conduct

You agree to conduct yourself in a professional and respectful manner throughout the Event. MX reserves the right to remove any Attendee who engages in disruptive, harassing, threatening, or otherwise inappropriate behavior, without refund or liability.

10. Data Privacy

MX will collect and process your personal information (including name, contact details, company affiliation, and dietary or accessibility requirements) for the purpose of administering the Event. MX will handle such information in accordance with its Privacy Policy, available at www.mx.com/privacy. By accepting this Agreement, you consent to such collection and processing.

11. General Provisions

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of Utah, without regard to its conflict of laws principles.

Jurisdiction. The parties submit to the exclusive jurisdiction of the state and federal courts located in the state of Utah and agree that such courts are a convenient forum.

Severability. If any provision of this Agreement is found to be invalid or unenforceable under applicable law, such provision shall be ineffective to the extent of such invalidity or unenforceability without invalidating the remainder of such provision or the remaining provisions of this Agreement.

Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, except that any existing agreements between you (or your company) and MX shall remain in full force and effect.

Construction. This Agreement shall be construed according to its fair meaning and not strictly for or against either party.

Electronic Acceptance. You acknowledge and agree that your act of registering for the Event, accepting an invitation, clicking any acceptance button, or attending the Event constitutes your electronic signature and acceptance of this Agreement, with the same legal force and effect as a handwritten signature. This Agreement is effective without a physical or wet-ink signature.

YOU ACKNOWLEDGE THAT YOU HAVE CAREFULLY READ THIS AGREEMENT, FULLY UNDERSTAND ITS CONTENTS, AND KNOW THAT IT IS A LEGALLY BINDING AGREEMENT. BY REGISTERING FOR, ACCEPTING AN INVITATION TO, OR ATTENDING THIS EVENT, YOU ACCEPT AND AGREE TO ALL TERMS AND CONDITIONS SET FORTH HEREIN.
